Article 1 — Definitions
In these General Terms and Conditions, the following terms have the meanings set out below:
- BolMoneybird: the sole proprietorship (eenmanszaak) BolMoneybird, established in Enschede, the Netherlands, registered with the Chamber of Commerce (KvK) under number 71434577, hereinafter also referred to as "we", "us" or "our".
- User: any natural person or legal entity that creates an Account and/or uses the Service, hereinafter also referred to as "you" or "your".
- Service: the SaaS application (Software as a Service) offered by BolMoneybird, available via the website bolmoneybird.nl, which automatically synchronizes Bol.com orders with Moneybird accounting software, including all associated functionalities, updates and support.
- Account: the personal account of the User, secured with login credentials, through which access to the Service is obtained.
- Subscription: the agreement between BolMoneybird and the User for the use of the Service for a specified period, in exchange for the agreed fee.
- Subscription Period: the term for which the Subscription is entered into, being one month or one year.
- Trial Period: the period of 30 days during which the User has free and non-binding access to all features of the Unlimited subscription.
- API Keys: the authentication credentials (including client IDs and client secrets) provided by Bol.com and/or Moneybird to the User, which are required to connect the Service to the User's accounts with these third parties.
- Agreement: the agreement between BolMoneybird and the User, which is established when the User creates an Account and accepts these General Terms and Conditions.
- Website: the BolMoneybird website, accessible at bolmoneybird.nl and all its subdomains.
- Personal Data: all data relating to an identified or identifiable natural person, as defined in the General Data Protection Regulation (GDPR).
Article 2 — Applicability
2.1. These General Terms and Conditions apply to all use of the Service, the Website and all agreements entered into between BolMoneybird and the User.
2.2. By creating an Account, starting a Trial Period or subscribing to a Subscription, the User declares to have read and agreed to these General Terms and Conditions.
2.3. Deviations from these General Terms and Conditions are only valid if confirmed in writing or electronically by BolMoneybird.
2.4. The applicability of any purchase or other terms and conditions of the User is expressly rejected.
2.5. If one or more provisions of these General Terms and Conditions are at any time wholly or partially void or annulled, the remaining provisions shall remain in full force and effect.
Article 3 — The Service
3.1. BolMoneybird offers an online service that allows Bol.com sellers to automatically synchronize their orders, returns and invoicing with their Moneybird accounting software. The Service includes, depending on the chosen Subscription, the following functionalities:
- Automatic retrieval and synchronization of orders from Bol.com to Moneybird
- Creating sales invoices in Moneybird based on Bol.com orders
- Processing returns and creating credit invoices
- Correct VAT calculation for domestic and international shipments
- Booking of Bol.com commissions and sales costs
- Processing and booking of Bol.com platform invoices
- Processing and booking of Bol.com Advertising invoices
- Automatic uploading of invoice PDFs to Bol.com
- Support for multiple Bol.com seller accounts
- Dashboard with overview, statistics and synchronization history
3.2. BolMoneybird reserves the right to improve, expand or modify the Service, provided this does not constitute a material limitation of the agreed functionalities.
3.3. The Service is provided on an "as is" and "as available" basis. BolMoneybird does not guarantee that the Service will function without errors or interruptions at all times.
Article 4 — Account and Registration
4.1. To use the Service, the User must create an Account via the Website. Registration is only permitted for persons aged 18 or older.
4.2. Only one Account may be created per business entity (based on Chamber of Commerce number or equivalent registration), unless otherwise agreed in writing with BolMoneybird.
4.3. The User is obliged to provide accurate, complete and current information during registration. The User must promptly communicate any changes to this information.
4.4. The User is fully responsible for keeping login credentials confidential and for all activities that take place under the Account. In case of (suspected) unauthorized use, the User must immediately inform BolMoneybird.
4.5. BolMoneybird reserves the right to refuse, suspend or remove an Account if the User acts in violation of these General Terms and Conditions or applicable laws and regulations.
Article 5 — Subscriptions and Pricing
5.1. BolMoneybird offers the following subscriptions:
- Free: a free subscription with basic functionalities and a limited number of orders per month (up to 15 orders/month).
- Starter: a paid subscription with extended functionalities and a higher order limit (up to 60 orders/month).
- Pro: a paid subscription with advanced functionalities and a higher order limit (up to 150 orders/month).
- Unlimited: a paid subscription with all functionalities and no order limit.
5.2. Current prices, functionalities and order limits per subscription are listed on the Website. All prices are exclusive of VAT unless explicitly stated otherwise.
5.3. Subscriptions are entered into for a Subscription Period of one month or one year, at the User's choice. Upon expiration of the Subscription Period, the Subscription is automatically renewed for the same period, unless the User cancels the Subscription in time.
5.4. For annual subscriptions, the full annual amount is charged in advance. For monthly subscriptions, the monthly amount is charged each month.
5.5. BolMoneybird reserves the right to change prices. Price changes will be communicated to the User at least 30 days in advance by email. In the event of a price increase, the User has the right to cancel the Subscription at the end of the current Subscription Period.
5.6. If the order limit of the chosen subscription is exceeded, the User will be notified. Orders exceeding the limit will not be automatically synchronized until the User upgrades to an appropriate subscription.
5.7. Upgrading to a higher subscription is possible at any time. The price difference is calculated pro rata for the remaining Subscription Period. Downgrading is possible at the end of the current Subscription Period.
Article 6 — Trial Period
6.1. BolMoneybird offers new Users a free Trial Period of 30 days. During the Trial Period, the User has access to all features of the Unlimited subscription.
6.2. No payment details are required for the Trial Period. The Trial Period is non-binding and free of charge.
6.3. After the Trial Period ends, the Account is automatically converted to the Free subscription. There is no automatic conversion to a paid subscription.
6.4. The User may subscribe to a paid Subscription at any time during or after the Trial Period to retain access to extended functionalities.
6.5. The Trial Period is offered once per User and per business entity. BolMoneybird reserves the right to prevent abuse of the Trial Period.
Article 7 — Payment
7.1. Payment is made via the payment methods offered on the Website. All prices are exclusive of VAT unless explicitly stated otherwise. BolMoneybird, as a sole proprietorship, is subject to VAT and charges the applicable VAT rate on subscription fees.
7.2. Invoices are made available to the User electronically (by email or via the Account).
7.3 — SEPA Direct Debit
If the User chooses to pay via SEPA Direct Debit, the User hereby grants BolMoneybird a recurring authorization to collect the subscription amount due from the specified IBAN account number.
- The mandate type is a recurring direct debit (SEPA Core Direct Debit, sequence type RCUR).
- Collections are made according to the chosen billing interval (monthly or yearly).
- The User has the right to request a refund from their bank within 8 weeks of the debit date, without giving a reason (in accordance with EU Regulation No. 260/2012).
- For unauthorized debits, the User may request a refund within 13 months.
- BolMoneybird will notify the User at least 5 business days before the collection date of the amount to be debited.
- The Creditor Identifier and mandate reference will be shown on the User's bank statements.
7.4 — Invoice and Payment Term
If payment is not made via direct debit, the User must pay the invoice within 14 days of the invoice date. In case of late payment, the User will receive a reminder with an additional term of 14 days.
7.5 — Consequences of Non-Payment
If the User has not paid after the expiry of the reminder period, BolMoneybird is entitled to:
- Suspend access to the Service until full payment has been received.
- Charge the statutory commercial interest (Article 6:119a of the Dutch Civil Code) on the outstanding amount, calculated from the due date.
- Charge extrajudicial collection costs in accordance with the Dutch Decree on Compensation for Extrajudicial Collection Costs.
- Terminate the Account in case of prolonged non-payment (more than 60 days past due).
Article 8 — Cancellation and Refunds
8.1. The User may cancel the Subscription at any time through the account settings in the Service. The cancellation takes effect at the end of the current Subscription Period. Until that time, the User retains full access to the Service.
8.2. No cancellation fees are charged.
8.3. Subscription fees already paid will not be refunded, except in the following situations:
- If BolMoneybird completely terminates the Service: a pro rata refund for the remaining Subscription Period.
- If mandatory law requires it (including the right of withdrawal for consumers within 14 days of subscription, provided the Service has not been fully used).
8.4. After cancellation or termination of the Subscription, the Account will be converted to the Free subscription. Data in the Account will remain available for 90 days, after which BolMoneybird is entitled to delete the Account and associated data.
8.5. BolMoneybird is entitled to terminate the Subscription with immediate effect if the User acts in violation of these General Terms and Conditions, in particular the provisions regarding acceptable use (Article 15).
Article 9 — Data Processing and Privacy
9.1. BolMoneybird processes Personal Data in accordance with the General Data Protection Regulation (GDPR) and other applicable privacy legislation.
9.2. The way in which BolMoneybird collects, processes and protects Personal Data is described in the Privacy Policy. The Privacy Policy forms an integral part of these General Terms and Conditions.
9.3. Insofar as BolMoneybird processes Personal Data on behalf of the User in the context of the Service (for example, customer data from Bol.com orders), BolMoneybird acts as a processor within the meaning of the GDPR. The data processing agreement is included in the Privacy Policy.
9.4. The User guarantees that the use of the Service and the transfer of data to BolMoneybird is in compliance with all applicable laws and regulations, including the GDPR.
Article 10 — API Keys and Integrations
10.1. For the Service to function, the User must enter API keys from Bol.com and/or Moneybird into the Service. The User is solely responsible for creating, managing and securing these API keys.
10.2. The User guarantees that they are authorized to use the relevant API keys and to connect the associated accounts to the Service.
10.3. BolMoneybird stores API keys in encrypted form and uses them exclusively for delivering the Service. BolMoneybird does not share API keys with third parties.
10.4. In case of (suspected) compromise of API keys, the User must immediately replace the relevant keys with Bol.com and/or Moneybird and enter the new keys in the Service.
10.5. BolMoneybird is not liable for damage resulting from unauthorized use of the User's API keys.
Article 11 — Third-Party Services
11.1. The Service depends on the availability and correct functioning of third-party services, including in any case Bol.com (bol.com) and Moneybird (moneybird.com).
11.2. BolMoneybird is not responsible or liable for:
- Disruptions, downtime, changes or limitations of the APIs or services of Bol.com and/or Moneybird.
- Incorrect, incomplete or delayed data originating from Bol.com and/or Moneybird.
- Changes in the terms, features or availability of the services of Bol.com and/or Moneybird.
- The termination or modification of API access by Bol.com and/or Moneybird.
11.3. The User acknowledges that BolMoneybird is not a partner, subsidiary or representative of Bol.com or Moneybird. BolMoneybird is an independent service provider.
11.4. The User must at all times comply with the terms of use and API terms of Bol.com and Moneybird.
Article 12 — Availability and Maintenance
12.1. BolMoneybird aims for a Service availability of 99.9% on an annual basis, measured over the infrastructure under BolMoneybird's control. This availability is a target and not a guarantee.
12.2. Planned maintenance will, where possible, be announced at least 48 hours in advance via email and/or a notification in the Service. BolMoneybird aims to perform planned maintenance outside peak hours.
12.3. Emergency maintenance may be performed without prior notice if necessary for the security, integrity or stability of the Service.
12.4. The availability target does not include:
- Disruptions caused by Bol.com, Moneybird or other third parties.
- Disruptions as a result of force majeure, as referred to in Article 12.5.
- Periods of planned maintenance.
- Disruptions caused by acts or omissions of the User.
12.5. Force majeure includes in any case: disruptions in energy or internet supply, disruptions at hosting providers (including Cloudflare), government measures, natural disasters, pandemics, war, terrorism, cyber-attacks, and all other circumstances beyond BolMoneybird's reasonable control.
Article 13 — Liability
13.1. The total liability of BolMoneybird towards the User, on whatever basis, is limited per event (whereby a series of related events counts as one event) to the amount the User has paid in subscription fees to BolMoneybird in the 12 months preceding the event causing the damage, with a maximum of EUR 500.
13.2. BolMoneybird is never liable for:
- Indirect damage, including consequential damage, lost profits, missed savings, damage due to business stagnation and reputational damage.
- Damage resulting from incorrect, incomplete or delayed data originating from Bol.com, Moneybird or other third parties.
- Damage resulting from incorrect VAT calculations, provided BolMoneybird has properly configured the Service based on the information provided by the User.
- Damage resulting from the unavailability of the Service due to force majeure or disruptions at third parties.
- Damage resulting from unauthorized access to the User's Account, unless this is attributable to intent or gross negligence on the part of BolMoneybird.
13.3. The User acknowledges that the Service is an aid for accounting and not a substitute for accounting or tax advice. The User remains responsible at all times for the accuracy of the administration and compliance with tax obligations.
13.4. Any claim for damages lapses 12 months after the damage occurred, unless mandatory law provides otherwise.
Article 14 — Intellectual Property
14.1. All intellectual property rights to the Service, the Website, the underlying software, the design, texts, images, logos, trade names and trademarks belong exclusively to BolMoneybird or its licensors.
14.2. The User only obtains a limited, non-exclusive, non-transferable and revocable right to use the Service for the duration of the Agreement, solely for the purpose for which the Service is intended.
14.3. The User is not permitted to copy, modify, distribute, sell, license, reverse engineer, decompile or otherwise use the Service or any part thereof in any way other than for which the Service is expressly intended.
14.4. Any feedback, suggestions or ideas that the User provides to BolMoneybird regarding the Service may be freely used by BolMoneybird without any obligation to the User.
Article 15 — Acceptable Use Policy
15.1. The User undertakes to use the Service exclusively for its intended purpose: synchronizing Bol.com orders with Moneybird accounting software.
15.2. The User is expressly prohibited from:
- Using the Service in violation of applicable laws and regulations.
- Using the Service for fraudulent, deceptive or unlawful activities.
- Excessively burdening the infrastructure of the Service, for example by generating excessive API traffic.
- Scraping, crawling or automatically collecting data from the Service or its underlying systems outside of the intended use.
- Circumventing, breaching or testing security measures of the Service without prior written permission.
- Reverse engineering, decompiling, disassembling or attempting to derive the source code of the Service.
- Reselling, sublicensing or making the Service available to third parties without written permission from BolMoneybird.
- Accessing, collecting or disclosing data of other Users.
15.3. In case of violation of this article, BolMoneybird is entitled to immediately suspend or terminate the Account, without refund of subscription fees and without prejudice to BolMoneybird's right to damages.
Article 16 — Indemnification
16.1. The User indemnifies BolMoneybird, its employees and associates against all claims, demands, damages, costs and expenses (including legal costs) from third parties arising from or related to:
- The User's use of the Service.
- A breach of these General Terms and Conditions by the User.
- A violation of applicable laws or regulations by the User.
- An infringement of third-party rights (including intellectual property rights) by the User.
- The content and accuracy of the data entered by the User in the Service or processed via the Service.
Article 17 — Amendments to the Terms
17.1. BolMoneybird reserves the right to amend or supplement these General Terms and Conditions.
17.2. Amendments will be communicated to the User at least 30 days before they take effect by email. In addition, amendments will be published on the Website.
17.3. If the User does not agree with the amended terms, the User has the right to cancel the Subscription effective on the date the new terms take effect. Continued use of the Service after the effective date constitutes acceptance of the amended terms.
Article 18 — Severability
18.1. If any provision of these General Terms and Conditions is declared void, voidable or otherwise unenforceable by a competent court, the remaining provisions shall remain in full force and effect.
18.2. In that case, the parties will consult to agree on a replacement provision that reflects the intent and purpose of the original provision as closely as possible.
Article 19 — Applicable Law and Disputes
19.1. These General Terms and Conditions and all agreements between BolMoneybird and the User are exclusively governed by Dutch law.
19.2. Disputes arising from or related to these General Terms and Conditions or the use of the Service shall be exclusively submitted to the competent court in the district of Overijssel, the Netherlands.
19.3. Before submitting a dispute to the court, the parties will endeavor to resolve the dispute through mutual consultation.
